How Anthropic's IPO creates a single 'God share' | About That
Investors could buy into Anthropic without gaining much say over who runs it. Under the AI company's proposed stock market structure, a single share would carry majority voting power, keeping control concentrated among its founders.
Andrew Chang explains the arrangement in a report from the Canadian Broadcasting Corporation (CBC), Canada's public broadcaster. Anthropic, the American company behind Claude, is preparing an initial public offering planned for November.
Chang points to its securities registration filing: one share of Class F common stock would command 50.1% of the voting power on most matters put to shareholders. That share would belong to Founder LLC, organized by co-founders Dario Amodei, Daniela Amodei and others. Buying ordinary shares would therefore not mean buying a comparable voice in company decisions.
Brett McDonnell, a University of Minnesota law professor, says public shareholders would have essentially no ability to elect anyone to the board. "I'm not going to say it's never happened, but I've never seen anything like this," he says. Georgetown finance professor James Angel offers a different emphasis: investors can choose whether to accept those terms.
Chang also explains Anthropic's rationale. As a public benefit corporation, it seeks to balance profits with AI safety. He highlights warnings in the filing about models becoming misaligned and potentially causing harm. The structure would let Anthropic raise money from public investors while leaving the founders firmly in charge of those decisions.
